Please read these Terms of Service ("Terms") carefully before using the services of Atlas Automation Agency ("Agency," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services Overview

Atlas Automation Agency provides business process automation, integration, consulting, and development services ("Services") as outlined in a separate written and mutually executed Statement of Work (SOW) or Service Agreement ("Agreement"). These Terms govern your general access to and use of our platforms, website, and the foundational relationship between you and the Agency.

2. Acceptance of Terms

By engaging the Agency for Services, accessing our website, or using any of our resources, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use our Services.

3. Payment and Fees

A. Pricing: Fees for the Services are set forth in the specific Agreement or SOW executed between you and the Agency.
B. Payment Terms: [Specify your payment terms, e.g., "Invoices are due Net 30 days," "Subscription fees are billed monthly/annually," etc.]
C. Late Payments: [Specify penalties for late payment, e.g., "Late payments may accrue interest at 1.5% per month or the maximum legal rate."]

4. Client Obligations

You agree to:

A. Cooperation: Provide timely and accurate information, access to necessary systems, and personnel cooperation required for the Agency to perform the Services.
B. Lawful Use: Use the results of the Services only for lawful purposes and in compliance with all applicable local, state, national, and international laws.
C. Account Security: Maintain the security of any login credentials, API keys, or access granted to you by the Agency.

5. Intellectual Property

A. Agency IP: All proprietary technology, software, methodologies, and content created or owned by the Agency prior to or outside of the specific SOW remain the sole property of the Agency.
B. Deliverables: Unless otherwise specified in the SOW, upon full payment for the Services, you will own all intellectual property rights in the final, specified deliverables created specifically for you under the SOW.
C. Client Content: You represent and warrant that you own or have the necessary licenses to all content, data, and systems you provide to the Agency.

6. Confidentiality

Both parties agree to treat all business, technical, financial, and personal information received from the other party as confidential and to not disclose it to any third party, except as required to perform the Services or as required by law.

7. Warranties and Disclaimers

A. Limited Warranty: We warrant that the Services will be performed in a professional manner in accordance with generally accepted industry standards.
B. Disclaimer: Except for the limited warranty above, the Services are provided "AS IS" and "AS AVAILABLE." The Agency disclaims all other warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

In no event shall the Agency be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory.

9. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or the specific Agreement/SOW.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Insert Governing Jurisdiction, e.g., the State of New York], without regard to its conflict of law provisions.
